Opportunity Zones 2.0
Opportunity Zones 2.0 in Rutland, Vermont: Permanent Capital Gains Incentives for Downtown Revitalization Beginning January 1, 2027
The Opportunity Zones program is entering a new, permanent phase. Starting January 1, 2027, Opportunity Zones 2.0 (OZ 2.0) brings updated federal tax incentives for long-term private investment in designated census tracts. In the City of Rutland, the Rutland Redevelopment Authority (RRA) is positioning the community to attract this capital through the Rutland Catalyst Fund : the first city-wide Qualified Opportunity Fund structure in Vermont.
What Changed with Opportunity Zones 2.0
Congress made the Opportunity Zones incentive permanent through the One Big Beautiful Bill Act (signed July 4, 2025). Key features effective for investments made on or after January 1, 2027 include:
- Rolling five-year capital gains deferral: Eligible gains invested in a Qualified Opportunity Fund (QOF) are deferred for five years from the investment date (or until an earlier inclusion event).
- Basis step-up: A 10% increase in basis on the deferred gain after a five-year hold. Because Vermont’s Opportunity Zones are rural, investments structured through a Qualified Rural Opportunity Fund (QROF) can receive a 30% basis step-up.
- Tax-free appreciation: After a 10-year hold, investors can exclude capital gains (and related depreciation recapture) on the appreciation of the Opportunity Zone investment.
- Rural advantages: In addition to the enhanced basis step-up, the substantial improvement threshold for buildings in rural zones is reduced to 50% of adjusted basis (from 100%).
- Decennial redesignation: Zones are designated every 10 years. The 2027 designations run through December 31, 2036.
The Opportunity Zones Landscape in Rutland
Rutland has held Opportunity Zone status since the 2018 designations, covering key downtown and adjacent areas. Vermont’s Agency of Commerce and Community Development (ACCD) included Rutland among the communities recommended for the 2027 round of designations. Because Vermont’s eligible tracts are rural, projects in designated areas can access the enhanced rural benefits described above.
RRA is leading local preparation and deployment of these incentives. The Rutland Catalyst Fund is structured as a flexible, multi-project vehicle rather than a single-purpose fund. It is designed to channel Opportunity Zone capital into priority downtown and neighborhood projects—including mixed-use development, housing, commercial revitalization, and catalytic sites—while coordinating with other local tools such as the Tax Increment Financing (TIF) district.
This approach allows the City to match private capital gains seeking the permanent OZ 2.0 incentives with shovel-ready and pipeline projects that advance Rutland’s revitalization goals.
Timeline for Investors and Partners
- Late 2026: Final Treasury certification of nominated census tracts is expected following state submissions.
- January 1, 2027: New OZ 2.0 designations and investment rules take effect. Qualifying investments made on or after this date receive the rolling deferral, basis step-up, and long-term exclusion benefits.
- December 31, 2028: OZ 1.0 designations expire; only the 2027 map remains in effect through 2036.
Certain capital gains realized in 2026 may still qualify for OZ 2.0 treatment if the corresponding investment is made on or after January 1, 2027 and within the applicable 180-day window (including special timing rules for pass-through entities).
Why This Matters for Rutland
Opportunity Zones 2.0 provides a durable federal incentive that rewards patient capital invested in communities with demonstrated need. For investors, the combination of deferral, a meaningful basis step-up (especially the rural 30% enhancement), and the potential for tax-free appreciation after 10 years creates a powerful risk-adjusted return profile. For Rutland, it supplies an additional tool to close financing gaps on priority projects and attract outside investment without raising local taxes.
RRA is actively working with the City, state partners, and private stakeholders to ensure designated areas in Rutland are ready to absorb this capital efficiently and in alignment with community priorities.
